NOVALTRIX, French sole proprietorship (micro-entrepreneur) of Noah CLERO, SIRET 108 065 517 00014, 6 avenue des Charmes, 35590 Clayes, France, contactnovaltrix@gmail.com (the “Provider”). VAT not applicable, Article 293 B of the French General Tax Code.
Article 1 — Purpose and scope
These general terms of sale (GTS) govern the subscription to the NOVALTRIX competitor monitoring service, entered into between the Provider and any client acting for business purposes (the “Client”).
The service is reserved for businesses. By subscribing, the Client declares that it acts for the purposes of its business and accepts these GTS, which prevail over its own purchasing terms.
Article 2 — The service
2.1. Every Monday, the Provider sends the Client, by email, a PDF report on the changes observed at the tracked competitors, their commercial implications and the actions it recommends considering.
2.2. The report only covers commercial information published by the competitors themselves: prices, promotions, shipping fees and free-shipping thresholds, catalogue (products added, removed or out of stock), offers and terms of sale, new releases, review ratings. Changes with no commercial effect (logo, colours, layout) are not reported.
2.3. Each change retained is verified by a person before sending. Recommendations are written by the Provider taking into account the priority stated by the Client.
2.4. The service does not include: implementing the recommendations (price changes, campaigns, product pages), automatic repricing, access to software or a dashboard, SEO, advertising or content creation services.
2.5. The following are not collected: pages behind an account, a trade area or reseller pricing; prices on quotation or in physical stores; Google and TikTok ads; the text of reviews and their authors' names. Amazon and other marketplaces are not collected automatically; a few key products may be checked manually.

| Term | Classic | Advanced |
|---|---|---|
| 12-month commitment, billed monthly | €299 per month | €499 per month |
| 3-month commitment, billed monthly | €349 per month | €579 per month |
| Single month, no subscription | €429 | €699 |
4.2. The price is fixed for the entire current commitment period.
4.3. The Provider may change its prices for subsequent periods. It informs the Client by email at least 60 days before the renewal date. A Client who refuses the new price may terminate at the renewal date, under the conditions of Article 6.3.
Article 5 — Subscription and delivery
5.1. Call and subscription. After receiving the request, the Provider and the Client hold a 30-minute call, by phone, WhatsApp or video. They set the list of tracked competitors, the priority products, the threshold from which a change is reported and the Client's priority (margin, volume or positioning). The Provider then sends a proposal stating the plan, term, price and date of the first report. The contract is formed when the Client accepts this proposal by email.
5.2. Baseline survey. Upon subscription, the Provider carries out an initial survey of the tracked competitors, which serves as the starting point for the reports.
5.3. First report. If the proposal is accepted by Tuesday at the latest, the first report is sent the following Monday; otherwise, it is sent on the second Monday after acceptance. The commitment period starts on the date of this first report.
5.4. Subsequent reports. A report is sent every Monday. When Monday is a public holiday, it is sent the next business day. A week without notable change gives rise to a short report saying so.
5.5. Alert (Advanced plan). For the major events defined together during the call, the Provider sends an email alert within 24 business hours after observing them, subject to feasibility depending on the event. Business hours run Monday to Friday, excluding public holidays.
5.6. Monthly call (Advanced plan). The parties agree together on the date of each 30-minute call, by phone, WhatsApp or video.
5.7. List of competitors. The Client may request by email the replacement of a tracked competitor. The replacement takes effect after the baseline survey of the new competitor, no later than two weeks after the request.
Article 6 — Term, renewal and termination
6.1. 12- and 3-month commitments. The subscription is entered into for the chosen term. At its end, it renews automatically for the same term, under the conditions then in force.
6.2. Reminder. The Provider reminds the Client by email of the renewal date at least 45 days beforehand.
6.3. Termination at renewal. Either party may object to renewal by email, no later than 30 days before the renewal date.
6.4. Early termination. The Client may end the subscription before the renewal date. The monthly payments remaining until that date then remain due, unless the Provider is in serious breach within the meaning of Article 6.5.
6.5. Serious breach. In the event of a serious breach by one party of its obligations, in particular no report for two consecutive weeks without reason or non-payment, the other party may terminate the contract if a formal notice sent by email has remained without effect for 15 days.
6.6. Single month. The “single month” plan covers the reports sent during one month from the first report. It ends automatically, without renewal.
Article 7 — Changing plans
7.1. The Client may move from the Classic plan to the Advanced plan at any time. The Advanced price, for the same commitment term, applies from the following month's invoice. The current commitment period is not changed.
7.2. Moving from the Advanced plan to the Classic plan is only possible at the end of the commitment period.
Article 8 — Billing and payment
8.1. For 12- and 3-month commitments, the Provider issues an invoice at the start of each subscription month, sent by email.
8.2. The “single month” plan is invoiced once and paid before the first report.
8.3. Invoices are payable by bank transfer within 8 days of issue, with no discount for early payment.
8.4. In the event of late payment, penalties are due automatically at three times the French legal interest rate, plus a fixed recovery fee of €40 (Articles L441-10 and D441-5 of the French Commercial Code).
8.5. If an invoice remains unpaid 15 days after an email reminder, the Provider may suspend the sending of reports until payment, without this suspension changing the commitment term.
Article 9 — Client obligations
9.1. The Client provides accurate information during the call and designates the report delivery address and a contact person.
9.2. The Client alone decides what to do with the reports and is responsible for implementing them.
9.3. The Client remains solely responsible for any public use it makes of the information received, in particular in comparative advertising, and refrains from disparaging its competitors.
Article 10 — Collection framework
10.1. The Provider only consults public pages, without an account or logged-in session, and without circumventing any protection measure.
10.2. It respects the explicit prohibitions of the sites collected. If a site asks it to stop collecting, it complies within 48 hours and offers the Client to replace that competitor.
10.3. It consults each site at most once a day and collects no personal data: for reviews, only the rating and the count.
10.4. For each piece of information retained, it keeps the page address, the collection date and the before and after values. The Client may ask for them.
10.5. Information specific to a client is used only for that client's reports and is never used for another client.
Article 11 — Confidentiality
Each party keeps confidential the non-public information of the other party it becomes aware of, during the contract and for two years after it ends. The Provider only names the Client as a reference with its written consent.
Article 12 — Intellectual property
The Client receives a non-exclusive right of use of the reports, unlimited in time, for its internal needs. It may not resell them or distribute them to third parties. The Provider's methods, templates and tools remain its property.
Article 13 — Liability
13.1. The Provider is bound by an obligation of means. It guarantees neither that all changes are captured nor any commercial or financial result.
13.2. It is not liable for decisions made by the Client based on the reports, nor for their implementation, nor for the unavailability of information due to a third party (site unavailable, change in Meta's access conditions).
13.3. Its liability, for all causes combined, is limited to the amounts paid by the Client for the last three months of subscription. It excludes indirect damage, in particular loss of revenue or customers.
Article 14 — Personal data
The personal data of the Client and its contacts is processed in accordance with the privacy policy.
Article 15 — Force majeure
Neither party is liable for a failure caused by a force majeure event within the meaning of Article 1218 of the French Civil Code. Obligations are suspended for its duration.
Article 16 — Changes to the GTS
The Provider may change these GTS. The new terms apply to the Client from the next renewal, after notice by email at least 30 days beforehand.
Article 17 — Governing law and disputes
These GTS are governed by French law. The parties first seek an amicable solution. Failing that, the dispute is brought before the competent courts of the Provider's place of residence.
